Terms of Service
AI SaaS Platform — Website / Self-Service Terms
These Terms of Service (“Terms”) govern access to and use of Trivas.ai provided by Trivas Inc. (“Provider,” “we,” “us,” or “our”). By creating an account, clicking acceptance, or accessing the Services, you agree to these Terms.
1. Eligibility and Authority
You represent that you are at least 18 years old and legally able to enter into these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization.
2. The Services
We provide a hosted software platform that may include AI-powered search, generation, classification, automation, analytics, integrations, APIs, and related functionality. We may update or improve the Services from time to time.
3. Accounts
You are responsible for maintaining account security, keeping credentials confidential, and ensuring that information associated with your account is accurate. Notify us promptly of unauthorized access.
4. Acceptable Use
- Do not use the Services unlawfully or to violate another person’s rights.
- Do not interfere with, probe, scan, or disrupt the Services or security controls.
- Do not circumvent usage limits, access controls, or authentication.
- Do not upload malware or content designed to compromise systems.
- Do not use Outputs as a sole basis for high-impact decisions without appropriate human review.
- Do not use the Services to generate or distribute content prohibited by applicable law or our AUP.
- Do not attempt to extract model weights, confidential system prompts, or protected security mechanisms except as expressly permitted.
5. AI Features and Outputs
AI features are probabilistic. Outputs may be inaccurate, incomplete, outdated, biased, or inappropriate. You must independently evaluate Outputs before using or distributing them. You are responsible for your prompts, Customer Data, and use of Outputs.
Unless expressly stated otherwise, we do not use your private account content to train generally available models for unrelated customers. We may process content as necessary to provide, secure, maintain, and improve the Services, subject to our privacy commitments.
6. Customer Content
You retain rights in content you submit to the Services. You grant us the rights reasonably necessary to host, process, transmit, display, and otherwise provide the Services. You represent that you have all rights necessary for us to process that content.
7. Intellectual Property
We and our licensors own the Services, software, models, Documentation, trademarks, and related intellectual property. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
To the extent Provider owns rights in an Output and those rights are legally assignable, Provider assigns those rights to you. We do not guarantee that any Output is protectable, unique, or non-infringing.
8. Third-Party Services
The Services may interoperate with third-party products, integrations, cloud providers, or AI model providers. Your use of third-party services may be governed by their separate terms. We are not responsible for third-party services except to the extent expressly stated in an applicable agreement.
9. Fees and Subscriptions
Paid subscriptions are billed according to the selected plan. Fees, usage limits, billing cycles, renewal terms, refunds, and cancellation rights are presented at purchase or in an applicable Order Form. Unless otherwise stated, fees are non-refundable.
10. Free Trials
If we offer a free trial, it will continue for the period of 30 days. We may discontinue a trial at any time. Unless expressly stated, trial Services are provided without warranties or service-level commitments.
11. Privacy
Our Privacy Policy describes how we collect, use, disclose, and protect Personal Data. Enterprise customers may be entitled to a separate DPA.
12. Security
We maintain reasonable security controls designed to protect the Services. No system is completely secure. You are responsible for using appropriate access controls and protecting your credentials.
13. Confidentiality
If you receive non-public information identified as confidential or reasonably understood to be confidential, you will use it only as necessary to use the Services and will not disclose it except as permitted by law or these Terms.
14. Disclaimers
To the maximum extent permitted by law, the Services and Outputs are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, and uninterrupted or error-free operation.
We do not warrant that AI Outputs will be accurate, complete, reliable, unique, or suitable for your purpose.
15. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, or business interruption.
Our total liability arising out of or related to the Services will not exceed the greater of (a) the amounts you paid to us for the Services during the three months before the event giving rise to the claim or (b) US$1,000, except to the extent liability cannot legally be limited.
16. Indemnification
You will defend and indemnify Provider against third-party claims arising from your unlawful use of the Services, your Customer Content, or your breach of these Terms, including the Acceptable Use Policy, and will pay resulting damages finally awarded or approved settlements.
17. Suspension and Termination
We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay applicable fees, or use the Services in prohibited ways. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
18. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated through reasonable means. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires affirmative consent.
19. Governing Law and Disputes
These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law rules. Any dispute will be resolved in the courts located in Kent County, Delaware, USA, unless applicable law requires otherwise.
20. General
These Terms, together with incorporated policies, constitute the agreement between you and Provider regarding the Services. If you have an executed MSPSA or Order Form with Provider, that negotiated agreement controls over these Terms to the extent of conflict. You may not assign these Terms without our consent, except as permitted by law. If any provision is unenforceable, the remaining provisions remain effective.
